Terms of Service

1. The service

AUTERA Sites, operated by AUTERA, LLC (“AUTERA,” “we”), provides website, search, and review services. Our review service is a software platform that local-trades contractors (“clients”) use to request Google reviews from their own customers via SMS and email, and to monitor their public review profile.

2. SMS messaging program

Our review service sends review-request text messages on behalf of a contractor to that contractor’s own past and recent customers, after the contractor has completed a service for that customer. Each message identifies the contractor by name and includes a link to a Google-primary review page.

  • Message frequency varies and is limited — typically 1–2 messages per completed job.
  • Message and data rates may apply.
  • Reply STOP at any time to opt out of all further messages; reply HELP for help.
  • Consent to receive text messages is not a condition of purchasing any goods or services.

3. Client responsibilities — consent & compliance

By uploading customer contact information to AUTERA, the client represents and warrants that:

  • Each customer provided their phone number and email at the point of service with the expectation of receiving follow-up communications about that service, in compliance with the Telephone Consumer Protection Act (TCPA) and the CAN-SPAM Act.
  • Customer contact information was obtained directly from the customer, not purchased, scraped, or rented from third parties.
  • The client will honor STOP and unsubscribe requests in all channels and will not attempt to re-add an opted-out contact.
  • The client will not offer incentives (discounts, gifts, credits) in exchange for reviews, in compliance with Google’s review policies and the FTC Endorsement Guides.

The client indemnifies AUTERA against any third-party claim arising from the client’s breach of these warranties.

4. No review gating

Our review request flow is Google-primary and uniform for every customer. The software never uses a predicted rating to decide which customer reaches Google and which is routed elsewhere. This is a non-negotiable design choice to comply with the FTC Consumer Review Rule (16 CFR Part 465) and Google’s review policies.

5. Acceptable use

The client may not use the service to send unlawful, harassing, deceptive, or harmful content; to impersonate another party; or to send messages to customers who have opted out, who never provided consent, or whose contact data was obtained without a direct service relationship.

6. Fees & billing

Where the service is provided under a paid plan, fees are billed through Stripe at the cadence stated on the client’s subscription. Trial accounts may be converted to paid plans only with the client’s explicit consent.

7. Termination

Either party may terminate access at any time. AUTERA may suspend or terminate immediately if a client breaches Section 3 (consent and compliance) or Section 5 (acceptable use). On termination, the client’s data is retained for a reasonable period for audit and legal purposes, then deleted.

8. Disclaimer of warranties

The service is provided “as is.” AUTERA makes no guarantee that any specific number of reviews will be generated, that all messages will be delivered, or that the service will be uninterrupted or error-free. SMS deliverability is subject to carrier filtering and regulatory programs (e.g., A2P 10DLC) that are outside our control.

9. Limitation of liability

To the maximum extent permitted by law, AUTERA’s aggregate liability for any claim arising out of the service is limited to the fees paid by the client to AUTERA in the twelve months preceding the claim.

10. Governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.
